Item 5.07. Submission of Matters to a Vote of Security Holders.

This current report on Form 8-K/A (this “Amendment”) amends a current report on Form 8-K, filed on December 2, 2011 (the “Original Filing”), in which The Madison Square Garden Company (the “Company”) reported voting results for its Annual Meeting of Stockholders held on November 30, 2011 (the “2011 Annual Meeting”), including the voting results for the Company’s non-binding stockholder advisory vote regarding the frequency of future say-on-pay votes advisory votes on executive compensation (the “Say on Pay Vote”). Except as set forth below, this Amendment does not modify or update any other disclosure contained in the Original Filing.

On March 29, 2012, the Company’s Board of Directors of the Company approved holding future Say on Pay Votes every three years until the next required Say on Pay Vote, consistent with the recommendation of the Board of Directors to its stockholders and the preference of the Company’s Class A Stockholders and Class B Stockholders, voting together as a single class, as represented by their votes at the 2011 Annual Meeting.
