Item 1.01 Entry into a Material Definitive Agreement.

On March 9, 2012, we entered into a contract to purchase approximately 7.5 acres of waterfront property located in Treasure Island, Florida from Rice Family Holdings LLLP, John’s Pass Marina, Inc. and Gators on the Pass, Inc. for a total price of $8.1 million. On April 2, 2012, the contract became binding on the parties and we acquired the property, which includes vacant land, land improvements, a restaurant facility and operation and a marina facility and operation. We have no definitive plans for the property at this time except that we will continue the restaurant and marina operations and consider opportunities to lease those facilities to third parties.

The foregoing summary of our real estate purchase contract does not purport to be complete and is subject to, and qualified in its entirety by, the full text of the agreement, which will be filed as an exhibit to our Form 10-Q for the fiscal quarter ended March 31, 2012.
