Item 1.01 — Entry into a Material Definitive Agreement

 

 

On March 30, 2012, China Energy Recovery (Yangzhou) Co., Ltd. (CER Yangzhou), a wholly-owned subsidiary of China Energy Recovery, Inc. (”CER”), entered into a comprehensive credit facility with the China CITIC Bank, Yangzhou Branch. The facility is for RMB 20,000,000 (approximately $3,175,000) and can be used for working capital or general corporate purposes. The term of the line of credit facility is from is from March 30, 2012 to March 30, 2014. This facility is guaranteed by Jiangsu SOPO (Group) Company Limited, a third party company, and it is additionally guaranteed by Mr. Qinghuan Wu, the Company’s Chief Executive Officer.
