Item 2.01 Results of Operations and Financial Condition.
On March 30, 2012, Magnolia Solar Corporation (the “Company”) issued a press release announcing the filing of its annual report for the year ended December 31, 2011. The press release contained a brief discussion of its financial results for the year ended December 31, 2011 as well as certain other key accomplishments of the Company for the year ended December 31, 2011. The full text of the press release is attached hereto as Exhibit 99.1.
