Item 7.01     Regulation FD Disclosure

On March 30, 2012, the Company issued a press release announcing that per the terms of the Purchase agreement, the Company issued 150,000 shares to Wildhorse Copper Inc. and made a cash payment of $7,500 to Nubian Resources Ltd. to fulfill the annual payment obligations.
