Item 2.02. Results of Operations and Financial Condition.
On March 28, 2012, Belk, Inc. issued a press release reporting the company’s results for the fiscal year ended January 28, 2012. A copy of the press release is attached hereto as Exhibit 99.1.
Item 8.01 Other Events.
On March 28, 2012, Belk, Inc. issued a press release announcing that the Board of Directors had approved a self-tender offer to purchase up to 2,450,000 shares of its class A and/or class B common stock at a price per share of $40.80, to be paid in cash. The tender offer is expected to commence on or about April 20, 2011. A copy of the press release is attached hereto as Exhibit 99.1.
