Item 2.02. Results of Operations and Financial Condition.
On March 27, 2012, Alta Mesa Holdings, LP, a Texas limited partnership (the “Company”), issued a press release announcing its financial results for the fourth quarter and full-year of 2011. A copy of the press release is attached hereto as exhibit 99.1, the contents of which are furnished in its entirety.
