On March 19, 2012, Bio-Reference Laboratories, Inc. (the “Company”) entered into an amendment to the employment agreement, dated effective as of December 31, 2010, between the Company and Marc D. Grodman, M.D., the Company’s Chief Executive Officer. The amendment was intended to reflect the correct name of a life insurance trust and to clarify the life insurance arrangement created pursuant to the employment agreement.
The foregoing description of the amendment to Dr. Grodman’s employment agreement is only a summary and is qualified in its entirety by reference to the amendment, a copy of which is attached hereto as Exhibit 99.1, and which is incorporated by reference into this Item 5.02.
