Item 1.02 Termination of a Material Definitive Agreement.
As discussed in Item 5.02 below, on March 19, 2012, Steven Degenfelder resigned as our Senior Vice President, Land, effective immediately. The resignation occurred for personal reasons. As a result of the resignation, Mr. Degenfelder’s employment agreement with the Company terminated as of March 19, 2012. Pursuant to such termination, we are not obligated to pay Mr. Degenfelder severance pay or severance benefits.

On March 19, 2012, Steve Degenfelder resigned as our Senior Vice President, Land, effective immediately.
