On March 14, 2012, we issued 200,000 restricted shares of common stock of our company to an investor pursuant to the terms of a strategic alliance agreement with the investor at a deemed price of $0.06 per share. The sale of the shares was made pursuant to the exemption from the registration requirements of the United States Securities Act of 1933, as amended (the “Act”) provided by Section 4(2) of the Act.
