Item 3.02. Unregistered Sales of Equity Securities.
On March 9, 2012, Pegasi Energy Resources Corporation, a Nevada corporation, sold 4,444,445 shares of shares of common stock, $0.001 par value in a private placement to a non-U.S. person in an offshore transaction, for an aggregate purchase price of $2,000,000.25. The shares were issued in a private placement transaction pursuant to Regulation S under the Securities Act of 1933, as amended.
