Item 2.02 Results of Operations and Financial Condition.
On March 13, 2012, Francesca’s Holdings Corporation (the “Company”) issued a press release announcing its consolidated financial results for the fiscal fourth quarter and fiscal year ended January 28, 2012. This press release refers to supplemental financial information available on the Company’s website. A copy of the press release is furnished as Exhibit 99.1 to this report. This information shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, and is not incorporated by reference into any filing of the Company, whether made before or after the date hereof, regardless of any general incorporation language in such filing.
