ITEM 5.03                      AMENDMENTS TO ARTICLES OF INCORPORATION OR BYLAWS; CHANGE IN FISCAL YEAR.
 
On March 8, 2012, Young Innovations, Inc. (the “Company”) amended Section 3.2 of the Company’s By-Laws to increase the number of directors to six effective May 8, 2012, the date of the 2012 annual meeting of shareholders.  Accordingly, effective May 8, 2012, the first sentence of Section 3.2 of the By-Laws is amended in its entirety as follows:

 
The Board of Directors shall consist of six (6) members, until this Section 3.2 is amended by a resolution duly adopted by the Board or the stockholders, in either case in accordance with the terms of the Articles of Incorporation.
