Other Events

On March 13, 2012, PMC-Sierra, Inc. (the “Company”) issued a press release announcing that the Audit Committee of its Board of Directors has approved a share repurchase program pursuant to which the Company may repurchase up to $275 million of its common stock. In connection with the repurchase program, the Company may adopt one or more plans pursuant to the provisions of Rule 10b5-1 under the Securities Exchange Act of 1934. Share repurchases under the program may be made through a variety of methods, which may include open market purchases, privately negotiated transactions, block trades, accelerated share repurchase transactions, or by any combination of such methods. The press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
