| Item 7.01 | Regulation FD Disclosure. |
On March 12, 2012, the Company issued a press release, attached hereto as Exhibit 99.1 and incorporated herein by reference, announcing that on March 8, 2012, the Company entered into a definitive agreement to sell all of the issued and outstanding equity interests in its Industrial Pipes, Valves and Fittings business to Shale-Inland Holdings LLC. The transaction is expected to close in late March 2012 upon the satisfaction of customary closing conditions, including certain financing conditions and obtaining requisite government approvals.
