Senior Notes Offering. On March 2, 2012, Fifth Third entered into an Underwriting Agreement (the Senior Notes Underwriting Agreement) with Deutsche Bank Securities Inc., J.P.
Morgan Securities LLC, and Morgan Stanley & Co. LLC, as representatives of the several underwriters listed therein (the Senior Notes Underwriters) for the sale of $500,000,000 3.500% Senior Notes due 2022 (the Senior Notes
Offering). On March 7, 2012, Fifth Third entered into a Supplemental Indenture with Wilmington Trust Company, as Trustee, which modifies the existing Indenture for Senior Debt Securities dated as of April 30, 2008 between Fifth Third
and the Trustee. The Supplemental Indenture and the Indenture define the rights of the 3.500% Senior Notes due March 15, 2022 (the Senior Notes), which Senior Notes will be represented by a Global Security to be dated as of March 7,
The Senior Notes Offering is described in Fifth Thirds prospectus supplement dated March 2, 2012, together
