Item 8.01 Other Events.
On February 28, 2012, the Board of Directors of Nyxio Technologies Corp. (the “Company”) adopted the 2012 Equity Incentive Plan (the “Plan”) and reserved 4,500,000 shares of the Company’s common stock for issuance thereunder to officers, directors, employees, consultants and other service providers of the Company. The Plan is subject to final approval by the Company’s shareholders. A copy of the Plan is attached hereto as Exhibit 99.1.
