Item 8.01 Other Events – Articles of Dissolution
On December 30, 2011 Oldwebsites.com, Inc. filed a Form 8K notification that Articles of Dissolution had been filed with the State of Utah on December 29, 2011 and that the Board of Directors had proceeded with the dissolution of the Company in accordance with the results of the shareholder vote held at a Meeting of the Shareholders on August 16, 2011.
The Meeting of Shareholders had been called to ratify the consent resolution of the Board of Directors of Oldwebsites.com, Inc. regarding dissolution of the Company, subject to the terms and conditions set forth in the Definitive Proxy Statement, Schedule 14A, filed on July 19, 2011.
The results of the shareholder vote at the meeting were as follows:
Dissolution of the Company in accordance with the terms and conditions set forth in the proxy statement.

The stock transfer books for Oldwebsites.com, Inc have now been closed.
The dissolution of Oldwebsites.com, Inc is now finalized. Accordingly, trading in the Company’s common stock should not continue and the Company is suspending the filing of reports under Section 13 of the Securities Exchange Act of 1934
