Item 8.01. Other Events
On January 27, 2012, the Registrant's wholly-owned subsidiary, The Dime Savings Bank of Williamsburgh ("Dime"), issued a news release announcing Dime had filed an application with the New York State Department of Financial Services to convert from a federally-chartered stock savings bank to a New York State-chartered stock savings bank, and also filed a notice of the charter conversion with its current primary federal regulator, the Office of the Comptroller of the Currency. The text of the press release is included as Exhibit 99 to this report.
