Item 2.02 Results of Operations and Financial Condition.
On February 23, 2012, QLT Inc. (the “Company”) reported its financial results for the fourth quarter ended December 31, 2011 and for the full year ended December 31, 2011, as well as issued guidance for 2012 and reported a pipeline update. The full text of the press release announcing such results is attached hereto as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference. Such information shall not be deemed “filed” for purposes of Section 18 of the Securities and Exchange Act of 1934, as amended, and is not incorporated by reference into any filing of the Company, whether made before or after the date hereof, regardless of any general incorporation language in such filing.
