ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
On February 13, 2012, Earthstone Energy, Inc. (the "Earthstone" or "Company") issued a press release announcing its third quarter earnings for fiscal year 2012, which results are set forth in the press release dated February 13, 2012, and attached hereto as Exhibit 99.1.
