Explanatory Note

This Amendment No. 1 to Current Report on Form 8-K/A hereby amends and supplements the Current Report on Form 8-K of Lam Research Corporation (the “Company”) originally filed with the Securities and Exchange Commission on November 9, 2011, to disclose the Company’s decision as to how frequently the Company will include a shareholder vote on the compensation of executives in its proxy materials pursuant to the requirements of Item 5.07(d) of Form 8-K.

Item 5.07 Submission of Matters to a Vote of Security Holders.

Consistent with the stated preference of a majority of the Company’s stockholders, the Board of Directors determined on February 6, 2012 that it will include an advisory stockholder vote on executive compensation in its proxy materials every year until the next required advisory vote on the frequency of stockholder votes on executive compensation, which will occur no later than the Company’s annual meeting of stockholders in 2017.
