ITEM 7.01. Regulation FD Disclosure.
The Company is filing this current report on Form 8-K to address an incorrect statement contained in the Barron's article entitled "Rewind: TiVo's Compelling Second Act" dated February 4, 2012. The Company's Chief Executive Officer did not make a projection and the Company further disclaims such an alleged projection with respect to the Company's fiscal year 2013 Adjusted EBITDA. The Company will report its earnings results for the fourth quarter and full fiscal year ending January 31, 2012 on February 23, 2012.
