Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 30, 2012, Jacques-François Martin resigned as President and CEO of the registrant ("Mymetics") effective May 1, 2012 in accordance with the notice requirement in his employment agreement with Mymetics, stating his desire to spend more time with his family.
Jacques-François Martin intends to remain as Chairman of the Board for the foreseeable future.
