On February 1, 2012, Transatlantic Holdings, Inc. (“TRH”) issued a press release announcing its financial results for the fourth quarter and year ended December 31, 2011. Also on February 1, 2012, TRH announced it reached an agreement with American International Group, Inc. (“AIG”) to settle a dispute, previously in arbitration, which arose as a result of losses claimed by TRH from its participation in a securities lending program administered and managed by AIG. A copy of the press release is attached as Exhibit 99.1 to this Form 8-K and is incorporated by reference to this Item 2.02.
