Ladies and Gentlemen:
I am Senior Vice President, Deputy General Counsel and Assistant Secretary of AutoNation, Inc., a Delaware corporation (the “Company”), and in such capacity have acted as counsel to the Company and the subsidiary guarantors of the Company listed on Schedule I hereto (each such subsidiary, a “Guarantor”), in connection with the public offering of $350,000,000 aggregate principal amount of the Company’s 5.500% Senior Notes due 2020 (the “Notes”), including the guarantees thereof (the “Guarantees”) by the subsidiary guarantors of the Company listed on Schedule I hereto (the “Guarantors”), which will be issued under the Indenture, dated as of April 14, 2010 (the “Base Indenture”), among the Company, the Guarantors and Wells Fargo Bank, National Association., as trustee, as supplemented by the Supplemental Indenture, dated as of the date hereof, to the Base Indenture (together with the Base Indenture, the “Indenture”). The Notes and the Guarantees are collectively referred to herein as the “Securities.”
This opinion is being furnished in accordance with the requirements of Item 601(b)(5) of Regulation S-K under the Securities Act of 1933.
In rendering the opinion set forth herein, I have examined or caused to be examined the following”
(a) the registration statement on Form S-3 (File No. 333-157354) of the Company relating to the Securities and other securities of the Company filed with the Securities and Exchange Commission (the “Commission”) on February 17, 2009 under the Securities Act allowing for delayed offerings pursuant to Rule 415 of the General Rules and Regulations under the Securities Act (the “Rules and Regulations”), and Post-Effective Amendment No. 1 thereto,

filed on February 23, 2010, including information deemed to be a part of the registration statement pursuant to Rule 430B of the Rules and Regulations (such registration statement being hereinafter referred to as the “Registration Statement”);
(b) an executed copy of the Indenture;
(c) an executed copy of the Underwriting Agreement, dated January 27, 2012 (the “Underwriting Agreement”), among the Company, the Guarantors and Merrill Lynch, Pierce, Fenner & Smith Incorporated, as representative of the several underwriters named therein;
(d) the form of global certificate evidencing the Securities included in the Indenture;
(e) the applicable certificate or articles of incorporation and bylaws, certificate of formation, limited liability company agreement or limited partnership agreement, as applicable, of each Guarantor, in each case as amended to date;
(f) copies of certain resolutions of the directors, managers, general partners, stockholders and/or members, as applicable, of each of the Guarantors, dated February 23, 2010; and
(g) copies of certain resolutions of the Board of Directors of the Company, dated February 12, 2009 and November 15, 2011, and resolutions of the Pricing Committee thereof, dated January 27, 2012, as certified by the Assistant Secretary of the Company.
I have also examined originals or copies, certified or otherwise identified to my satisfaction, of such records of the Company and the Guarantors and such agreements, certificates and receipts of public officials, certificates of officers or other representatives of the Company and the Guarantors and others, and such other documents as I have deemed necessary or appropriate as a basis for the opinion set forth below.
In my examination, I have assumed the genuineness of all signatures, including endorsements, the legal capacity and competency of all natural persons, the authenticity of all documents submitted to me as originals, the conformity to original documents of all documents submitted to me as facsimile, electronic, certified or photostatic copies, and the authenticity of the originals of such copies. As to any facts relevant to the opinions stated herein that I did not independently establish or verify, I have relied upon statements and representations of officers and other representatives of the Company, the Guarantors and others and of public officials.
I am a member of the Florida Bar and express no opinion as to the laws of any jurisdiction other than (i) the laws of the State of Florida, (ii) the corporate and limited liability company statutes listed on Schedule II hereto, (iii) the limited partnership statutes set forth on Schedule III hereto, and (iv) the general partnership statutes set forth on Schedule IV hereto, and to the extent that judicial or regulatory orders or decrees or consents, approvals, licenses,

authorizations, validations, filings, recordings or registrations with governmental authorities are relevant, to those required under such laws (all of the foregoing being referred to as “Opined on Law”). The opinion expressed herein is based on laws in effect on the date hereof, which laws are subject to change without possible retroactive effect. I do not express any opinion as to the effect of any law (other than Opined on Law) on the opinions stated herein. Insofar as the opinion expressed herein relates to matters governed by laws other than Opined on Law, I have assumed, without having made any independent investigation, that such laws do not affect the opinion set forth herein.
Based upon the foregoing and subject to the limitations, qualifications, exceptions and assumptions stated herein, it is my opinion that the Guarantees by the Guarantors have been duly authorized by all requisite corporate, limited liability company or partnership action, as applicable, on the part of each of the Guarantors.
The opinion stated herein is limited by applicable bankruptcy, insolvency, reorganization, moratorium, fraudulent transfer, preference and other similar laws affecting creditors’ rights generally, and by general principles of equity (regardless of whether enforcement is sought in equity or at law).
I hereby consent to the filing of this opinion with the Commission as an exhibit to the Company’s Current Report on Form 8-K being filed on the date hereof and incorporated by reference into the Registration Statement. I also hereby consent to the use of my name under the heading “Legal Matters” in the prospectus forming a part of the Registration Statement. In giving this consent, I do not thereby admit that I am within the category of persons whose consent is required under Section 7 of the Securities Act or the rules and regulations of the Commission promulgated thereunder.
