(b) On January 25, 2012, Willard W. Brittain, Jr., a director of Convergys Corporation (the “Company”) since 2008 and a member of its Audit Committee, informed the Company that, for personal reasons, he would not stand for re-election at the 2012 annual meeting of shareholders.
