Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.
On January 25, 2012, Claudia S. Toussaint, Senior Vice President, General Counsel and Secretary and a named executive officer of Barnes Group Inc. (the “Company”), gave notice of her resignation of employment with the Company. The resignation will not be effective until after the filing of the Company's Form 10-K for the 2011 fiscal year and after an orderly transition of her duties. The Company expects the resignation to be effective on or about March 16, 2012.
