Item 2.02. Results of Operations and Financial Condition.
On January 26, 2012, RSC Holdings Inc. issued a press release announcing its results for the fourth fiscal quarter ended December 31, 2011, entitled “RSC Reports 4Q11 Results.” A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
