Item 2.02. Results of Operations and Financial Condition

OGE Energy Corp. (the "Company") is the parent company of Oklahoma Gas and Electric Company ("OG&E"), a regulated electric utility with approximately 789,000 customers in Oklahoma and western Arkansas, and OGE Enogex Holdings LLC and its subsidiaries ("Enogex"), a midstream natural gas pipeline business with principal operations in Oklahoma.

The Company expects its 2011 earnings to be towards the upper end of its previously disclosed earnings guidance of $3.40 to $3.45 per diluted share despite Enogex's expected earnings being below the previously disclosed earnings guidance of $0.90 to $0.95 per diluted share. The lower expected earnings at Enogex are primarily due to gathering and processing volumes growing at a slower pace during the fourth quarter than anticipated. Despite this slower volume growth, Enogex still anticipates the need for additional processing capacity. The two previously announced processing plants in Wheeler County, Texas and in Custer County, Oklahoma, remain on schedule for completion in the third quarter of 2012 and 2013, respectively. The decrease in Enogex's 2011 earnings is expected to be offset by OG&E, which benefited in large part due to favorable weather in its service territory in 2011. In addition, the Company expects to receive the recommendations of the Administrative Law Judge concerning the OG&E Oklahoma general rate case sometime in February. The Company will provide additional information regarding 2011 results on its year-end earnings call currently scheduled for February 16, 2012 and in the Company's 2011 Form 10-K.
