Ralcorp Holdings, Inc. (“Ralcorp”) announced on January 20, 2012 the commencement of an offering of $775 million aggregate principal amount of senior notes due 2022 of Ralcorp’s subsidiary, Post Holdings, Inc. Ralcorp’s press release announcing the offering is attached hereto as Exhibit 99.1 and incorporated by reference herein.
