Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
Effective on January 16, 2012, the Board of Directors (the “Board”) of Document Security Systems, Inc. (the “Company”) amended Article 2, Section 2.1 of the Company’s Bylaws to increase the aggregate number of Board seats from 7 to 8.
The foregoing description is a summary only, does not purport to set forth the complete terms of the Company’s amended Bylaws, and is qualified in its entirety by reference to the Company’s Second Amended and Restated Bylaws, which is filed as Exhibit 3.1 to this Current Report on Form 8-K.
