Item 1.01. Entry into a Material Definitive Agreement.

Item 2.03. Creation of a Direct Financial Obligation or an Obligation Under an Off-Balance Sheet Arrangement of a Registrant.

On January 11, 2012, Penn Virginia Holding Corp., a direct wholly owned subsidiary of Penn Virginia Corporation (the “Registrant”), and the Registrant entered into an amendment (the “Amendment”) to the Amended and Restated Credit Agreement dated August 2, 2011, with the lenders party thereto and JPMorgan Chase Bank, N.A., as administrative agent (the “Credit Agreement”).

The Amendment amends the Credit Agreement to, among other things, enhance the Registrant’s ability to hedge production. The Credit Agreement currently permits the Registrant to hedge the lesser of certain fixed percentages of its reasonably anticipated production of natural gas, oil and condensate from (a) proved developed reserves and (b) total proved reserves. The Amendment permits hedging of up to certain percentages of reasonably anticipated production of natural gas, oil, condensate and natural gas liquids from total proved reserves, which includes reasonably anticipated production from proved undeveloped reserves as well as proved developed reserves. The permitted percentages vary depending on the future period to which the hedging transaction relates.
