Item 8.01 Other Events.
On January 11, 2012, Oxygen Biotherapeutics, Inc. (the “Company”) was notified by the NASDAQ Stock Market LLC (“NASDAQ”) that, in light of the Company’s appointment of additional directors to its Audit Committee, the Company has regained compliance with NASDAQ’s audit committee requirements set forth in Listing Rule 5605(c)(2).
