Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On January 9, 2012, the Board of Directors of Genuine Parts Company announced the election of Paul D. Donahue to the position of President of Genuine Parts Company. Mr. Donahue, 55, has served as Executive Vice President of Genuine Parts Company since August 2007. He was appointed President of the U.S. Automotive Parts Group in July 2009 and will continue to serve in that capacity. Previously, Mr. Donahue was President and Chief Operating Officer of S.P. Richards Company from 2004 to 2007 and was Executive Vice President — Sales and Marketing in 2003, the year he joined the Company.
