(b) On January 4, 2012, Bruce L. Arfmann resigned from the Board of Directors of Encision Inc. (the “Company”), effective on January 4, 2012. Mr. Arfmann did not note any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
