Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective the close of business January 1, 2012, Thomas R. Havers resigned as Senior Operations Officer and Senior Vice President of Merchants Bank (the “Bank”). The Bank accepted his resignation. Mr. Havers will remain with the Bank in a non-executive position.
