(b) On December 30, 2011, concurrently with his retirement from his position as Executive Vice President, Business Development of the Registrant, Harold F. Ilg retired from the Board of Directors of the Registrant and from the boards of the Registrant’s subsidiaries on which he had served. The press release announcing Mr. Ilg’s retirement is attached hereto as Exhibit 99.1.
