Item 7.01 Regulation FD Disclosure.
On December 28, 2011, Chesapeake Midstream Partners, L.P. (the “Partnership”) issued a press release to announce it has agreed to acquire Appalachia Midstream Services, L.L.C. (“AMS”), an indirect wholly owned subsidiary of Chesapeake Energy Corporation, which holds its Marcellus Shale midstream assets. The press release also provided information for accessing a related conference call that will be held on Thursday, December 29, 2011 at 9:00 a.m. EST to discuss the acquisition and an outlook for 2012. A copy of the press release is attached as Exhibit 99.1 to this Current Report.
