ITEM 2.01              Completion of Acquisition or Disposition of Assets

New Jersey Mining Company (OTCBB:NJMC) (“NJMC”) completed the sale of the Silver Strand mine on December 22, 2011 to Shoshone Silver/Gold Mining Company (Shoshone) for $1,000,000 US. A total of $121,000 was paid in cash on closing and the balance of $879,000 is due as a 20% net profits interest. There is no material relationship, other than in respect to the transaction, between NJMC and Shoshone or any of its directors, officers or affiliates.
