Amendments to Articles of Incorporation or By-Laws; Change in Fiscal Year.

On December 21, 2011, the Board of Directors of the Company approved amendments to the Company’s Amended and Restated By-Laws. The amendments, which are effective immediately (i) change the age for a director or director nominee to be eligible for election or appointment from age 72 to 73; and (ii) correct a cross reference contained in Article III, Section 3.
