Item 5.02
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 19, 2011, the Board of Directors (the “Board”) of American CareSource Holdings, Inc. (the “Company”) elected Matthew P. Kinley to the Board.

In connection therewith, on December 19, 2011, the Board approved the award to Mr. Kinley of an option to purchase 10,000 shares of the Company’s common stock at an exercise price of $0.40 per share, the closing price of the common stock on The Nasdaq Capital Market on the date of grant.  The options, which were granted pursuant to the Company’s 2009 Equity Incentive Plan, vest in equal monthly installments over 60 months, commencing on the date of grant.
