Item 8.01 Other Events.
On December 20, 2011, Universal Technical Institute, Inc. (the "Company") issued a press release announcing that its Board of Directors has authorized a share repurchase plan of up to $25 million. This new share repurchase plan replaces the two existing share repurchase plans, of which there was an aggregate $23.7 million remaining. A copy of the press release is attached as Exhibit 99.1 to this Current Report on From 8-k.
