Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
At the regular meeting of the Corporation’s Board of Directors on December 20, 2011, A. Jerome Cook submitted a letter of resignation from his membership on the Board. The Board accepted Mr. Cook’s resignation and acknowledged his long service to Juniata Valley Financial Corp. Mr. Cook’s retirement after thirty five years of service on the Board will be effective on December 31, 2011.
