On December 19, 2011, Winn-Dixie Stores, Inc. (the “Company”) and Bi-Lo LLC (“Bi-Lo”) issued a press release announcing the execution of a definitive merger agreement pursuant to which the Company will be acquired by Bi-Lo LLC. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
