On December 16, 2011, Transatlantic Holdings, Inc. (the “Company”) was informed by the Federal Trade Commission that the Company has been granted early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976 applicable to the Company’s proposed business combination with Alleghany Corporation. The Company and Alleghany Corporation disseminated a joint press release on December 19, 2011 announcing the early termination, a copy of which is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
