Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On December 16, 2011, Brian M. NeSmith notified Blue Coat Systems, Inc. (the “Company”) of his resignation from the Company’s Board of Directors, effective immediately. Mr. NeSmith’s decision to resign was not due to any disagreement with the Company on any matters relating to the Company’s operations, policies or practices.
