On December 19, 2011, 1st Constitution Bancorp issued a press release announcing that its Board of Directors approved a 5% stock dividend payable February 2, 2012 to shareholders of record as of January 17, 2012. A copy of the press release is attached and is being furnished as Exhibit 99.
