Item 5.02.    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

    
On December 11, 2011, Mark J. Barrenechea, President and Chief Executive Officer of Silicon Graphics International Corp. (the “Company”), tendered his resignation as the Company's President and Chief Executive Officer, effective January 1, 2012. On December 12, 2011, Mr. Barrenechea tendered his resignation as a member of the Board of Directors of the Company, also effective January 1, 2012. There are no disagreements between Mr. Barrenechea and the Company that contributed to Mr. Barrenechea's resignation. Ronald D. Verdoorn, Chairman of the Board of Directors, will serve as interim Chief Executive Officer.
