| ITEM 3.01 | NOTICE OF DELISTING OF FAILURE TO SATISFY A CONTINUED LISTING RULE OR STANDARD; TRANSFER OF LISTING |
On December 12, 2011, Stein Mart, Inc. (the “Company”), received a notice from the NASDAQ Stock Market indicating that the Company is not in compliance with the continued listing requirements of NASDAQ Listing Rule 5250(c)(1) because the Company did not timely file its Quarterly Report on Form 10-Q for the quarterly period ended October 29, 2011 with the Securities and Exchange Commission. NASDAQ Listing Rule 5250(c)(1) requires the Company to timely file all required periodic reports and other documents with the Securities and Exchange Commission.
As disclosed in the Company’s Form 12b-25, Notification of Late Filing, filed with the Securities and Exchange Commission on December 9, 2011 the Company has not yet completed its financial statements for the quarterly period ended October 29, 2011 due to an information technology system issue which understated permanent markdowns. The Company intends to file its Form 10-Q for the quarter ending October 29, 2011 with the SEC to regain compliance with NASDAQ Listing Rule 5250(c)(1) well within the 60 day required period. When that filing is made the Company will regain compliance with the NASDAQ listing rules.
The Company issued a press release on December 14, 2011, disclosing its receipt of the NASDAQ Notice. A copy of the press release is attached as exhibit 99.1 and incorporated herein by reference.
